Terms of Service

Big Sky Investment Services LLC dba LeadVortex.ai

These Terms of Service ("Terms") are an agreement between you and Big Sky Investment Services LLC dba LeadVortex.ai ("LeadVortex.ai," "we," "us" or "our"), a registered Montana business. They apply when you use our websites, forms, emails and text messages, or buy or use our services. If you use our services for a business, you agree to these Terms for that business. If you do not agree, please do not use our services.

1. Our services

We provide AI-powered marketing, websites, automation and online-presence services for businesses. The specific services, deliverables, prices and timelines for your business are set out in your proposal, order form, invoice or written agreement with us (your "Order").

If your Order conflicts with these Terms, your Order controls for that conflict.

2. Who can use our services

You must be at least 18 years old and able to enter a binding contract. You agree that the information you give us is accurate and that you will keep it up to date.

3. Accounts and access

If we give you a login, or you give us access to your accounts (such as your website, domain, business listing, advertising or social media accounts), you are responsible for keeping your passwords safe. You confirm that you have the right to give us that access, and you allow us to use it to provide the services.

4. Payments

You agree to pay the fees in your Order, on the schedule it sets out. Unless your Order says otherwise, fees do not include taxes or third-party costs, such as domain registration, advertising spend, software subscriptions or messaging fees. If a payment is late, we may pause the services until the account is brought current.

5. Your responsibilities

You agree to:

  • give us the information, content, approvals and access we need, when we need it;
  • review and approve work we send you, and tell us promptly about any errors;
  • make sure the content you give us (such as logos, photos, text and reviews) is accurate and that you have the right to use it;
  • make sure your own marketing, messaging and business practices follow the laws that apply to you, including consent rules for calls, texts and emails to your customers.

6. Results and AI-generated content

Marketing results depend on many things we do not control, such as search engines, platforms, competition and your market. We do not guarantee any specific ranking, traffic, number of leads, sales or revenue.

Some of our work uses artificial intelligence tools. AI-generated content can contain mistakes, so you are responsible for reviewing content before it is published under your name.

Free audit tool. Our free audit reports are estimates based on public and third-party data at the time they are run. They are provided for information only, may contain errors, and are not a promise of any result.

7. Third-party platforms

Our services may rely on third-party tools and platforms, such as website hosts, CRMs, search engines, social networks, and email and text messaging providers. Their own terms apply to your use of them. We are not responsible for their changes, outages, decisions or policies, including account suspensions or listing changes they make.

8. Ownership

Your content. You keep ownership of the content you give us. You give us permission to use it to provide the services.

Your deliverables. Once you have paid in full, you may use the final deliverables we create for your business, as described in your Order.

Our materials. We keep ownership of our own tools, templates, software, methods, know-how and any materials we create for general use. Third-party software, fonts and stock images remain subject to their own licenses.

We may describe the work we did for you in our portfolio or marketing unless you ask us in writing not to.

9. SMS / Messaging Terms

Program description. The LeadVortex.ai text messaging program sends messages to people who opt in through our website forms or free audit tool, about their inquiries, audit results, appointments and our services.

Big Sky Investment Services LLC dba LeadVortex.ai operates the LeadVortex.ai text messaging program.

If you opt in, you agree to receive text messages from Big Sky Investment Services LLC dba LeadVortex.ai at the mobile number you provide. Messages may include replies to your inquiries, your free audit results and follow-up, appointment reminders, service updates and, if you separately agree, marketing or promotional offers.

  • Message frequency varies.
  • Message and data rates may apply.
  • Reply STOP to opt out at any time. Reply HELP for help.
  • Consent to receive text messages is not a condition of any purchase.
  • Carriers are not liable for delayed or undelivered messages.

10. Acceptable use

You agree not to use our services or websites to:

  • break any law or anyone else's rights;
  • send spam, or call or text people without the consent the law requires;
  • upload harmful code, or try to get into systems or data you are not allowed to access;
  • copy, resell or reverse-engineer our tools or materials without our written permission.

11. Ending the services

How you or we can end the services is set out in your Order. We may also suspend or end the services if you seriously break these Terms or your Order, if you do not pay, or if we need to in order to follow the law. When services end, you must pay for work already done and costs already incurred, and sections 4, 6, 7, 8 and 12 to 16 continue to apply.

12. Disclaimer

Except as stated in your Order, our services and websites are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities;
  • our total liability for any claim relating to the services is limited to the amount you paid us for the services giving rise to the claim in the three months before the claim arose.

Some laws do not allow these limits, so they may not fully apply to you.

14. Indemnity

You agree to defend and hold us harmless from claims, losses and costs (including reasonable attorneys' fees) that arise from content you give us, your use of the services, your messages or marketing to your own customers, or your breaking these Terms or the law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Montana, and you and we agree to those courts' jurisdiction. Before filing a claim, each side agrees to try in good faith to resolve the dispute informally by contacting the other.

16. General terms

  • Changes. We may update these Terms from time to time. We will post the new version on this page and change the effective date above. Continuing to use our services after that means you accept the updated Terms.
  • Entire agreement. These Terms, your Order and our Privacy Policy are the whole agreement between you and us about the services.
  • Severability. If any part of these Terms is found unenforceable, the rest still applies.
  • No waiver. If we do not enforce a part of these Terms right away, we can still enforce it later.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, sale or reorganization of our business.
  • Events outside our control. We are not responsible for delays caused by things beyond our reasonable control, such as outages, platform changes or natural events.
